Act as foreign law consultant to Shanghai C & S Law Firm which advices the Shanghai Stock Exchange and China Financial Futures Exchange.

Specialise in PRC-related legal advisory and dispute resolution work. Advise on foreign direct investment, merger and acquisition, corporate restructuring, sale and purchase, company, shareholder rights, real estate, construction, litigation and arbitration. Negotiate and draft bilingual equity joint venture, sale and purchase, subscription, shareholders and other agreements. Conduct legal DD investigations and draft legal DD reports.

Act as lead counsel or arbitrator in bilingual arbitration cases involving US, European and Asian parties. Act as lead counsel in Singapore court cases.

2010 Vetted and advised clients on USD 6 million contract for contraction of clean room facilities in Shanghai.
Visited Jintan and met with Jintan party secretary in exploring 15 sq km eco-city township development.
Advised on all PRC law issues relating to USD 360,000,000 credit agreement between a consortium of 7 banks and clients with subsidiaries in PRC.
Advised UK company on enforcement of PRC court order against its subsidiary in Shanghai.
Advised Singapore orchid operators on a JV for orchid cultivation and plantation in Sanya, Hainan Province.
Advised and acted for Great Eastern Life Assurance Company in its purchase of shares in a Sino-foreign securities firm for an amount in excess of SGD 200 million. Reviewed and advised on CSRC requirements and regulations, draft S&P Agreement (prepared by seller’s US attorneys) and amendments to the AOA and JVC. Prepared a legal opinion on the status of clients as purchaser for submission to CSRC.
Advised Singapore PE on its investment in a PRC company which owns commercial buildings in Shanghai.
2009 Advised and acted for Manulife Singapore for recovery of sums over-paid to an insured. The estate of the insured made a full refund of the sums over-paid to Manulife in Jan 2010.
Drafted and issued a legal opinion to Manulife Singapore on remedies for breaches of fund management agreement by fund manager.
Advised and acted for subsidiary of BH Global Marine Ltd (listed on SGX) in defending claim for breach of supply contract at No 2 Tianjin Intermediate People’s Court. Advised, acted for and procured lifting of a court order restraining departure of clients’ managing director from PRC.
Acted as lead counsel for Lanco Industries Ltd (listed on Bombay Exchange) in resisting an application to set aside an arbitral award for USD 5.1 million on grounds that the award was obtained by fraud. Obtained court order for security for costs at the High Court. The appeal against the security for cost order to Court of Appeal was later withdrawn. Successfully struck out the application to set aside the award.
Advised on restructuring of a Sino-foreign JV (life boat manufacturer) in Jiangyin, Jiangsu Province in preparation for listing on SGX.
Appointed by HKIAC as the sole arbitrator in an international sale of goods dispute between PRC and European parties.
Appointed by PRC Respondent in an HKIAC arbitration on breach of hospitality management contract during 2008 Beijing Olympic Games.
Advised Singapore PE on proposed investment in a project company which owns a shopping mall in Chengdu, Sichuan Province.
2008 Advised and acted for Vertex Management (a subsidiary of Temasek Holdings) on its investment in food and beverages operations in PRC. Supervised DD investigations in PRC subsidiaries and Samoa holding company and advised on drafting of DD reports. Prepared definitive documents (subscription and shareholders agreements) for issuance of redeemable convertible preference shares in Samoan holding company. Advised on pre and post subscription restructuring in PRC subsidiaries and Samoan holding company.
Advised Singapore listed company on the structure of equity joint venture, negotiated and drafted bilingual EJV contract for a USD 25 million Shenyang manufacturing project.
Advised a subsidiary of Temasek Holdings on redemption of USD 12 million investment in Cayman Island company that owns IT operations in PRC.
Acted as lead counsel in a Beijing CIETAC arbitration case where claims for defects and delays were made against Singapore power generator specialist. Part heard in 2008 on jurisdictional challenge, hearing to resume in 2010.
Nominated by HKIAC for appointment as the Chairman of the Arbitral Tribunal for a case involving Hong Kong and PRC parties in a claim for USD 25 million for breach of energy consultancy agreement.
2007 Appointed by SIAC as sole arbitrator for a dispute between Indian Claimants and Hong Kong Respondents. Claimants claim damages for breach of supply of goods contract. Rendered Final Award in 2008.
Advised Shenzhen design institute on a multi-million Hainan property development project.
Advised Middle East PE on proposed USD 50 million bio-diesel ethanol project in China. Feasibility study trips were made to Shandong and Guangxi provinces in 2006 and 2007. The raw materials considered switches from corn to cassava, following a policy change in December 2006.
Advised Singapore investors on the structure of equity joint venture, negotiated and drafted bilingual EJV contract for a RMB 42 million Shanghai water treatment project.
Acted as lead counsel in SIAC arbitration case (conducted in English) where clients, Indian listed company, obtained an award for USD 5.1 million being damages for breach of contract against Shanghai based PRC state owned enterprise.
Advised Japanese hotel operator in respect of breaches of 10-year lease agreement for its hotel premises in Pudong New District, Shanghai.
Advised Singapore Bank on proposed divestment of land in Jingan District, Shanghai.
2006 Advised StatsChipPac on its USD 33 million phase 2 expansion of manufacturing plant in Qingpu District, Shanghai. Upon advice, clients managed to fend off unreasonable claims by piling contractor and obtain fresh tender award notification and construction permit for their US main contractor to enter site and proceed with superstructure work. Throughout the 2-year project, handheld clients and advised on licensing, documentation, contract novation, design, construction, procurement and dispute resolution until the project was successfully completed in 2007. Clients are the largest turnkey assembly and test service providers in China with one million square feet manufacturing and test facilities offer high volume turnkey solutions.
Advised owners of a 5-A commercial building in Nanjing Road, Shanghai in respect of enforcement of an arbitral award of Shanghai Arbitration Commission for USD 13 million.
Appointed by HKIAC as sole arbitrator for a bilingual arbitration between Swiss Claimants and PRC Respondents. Claimants claim outstanding license fees and damages for breach of license agreement for LCD panels. Respondents made a challenge on jurisdiction and applied to Shijiazhuang Intermediate People’s Court to rule on jurisdiction. Rendered bilingual interim award dismissing the challenge and gave directions for further conduct of the arbitration in 2007. Rendered bilingual Final Award in 2008.
Appointed by PRC Claimants as arbitrator in SIAC arbitration. The US Respondents appointed Prof Michael Pryles as their party appointed arbitrator. SIAC appointed Steven Chong SC as the presiding arbitrator. The Claimants claim USD 10 million as damages for breach of distributorship agreement.
Advised on USD 10 million redeemable and convertible bonds issued on a Singapore company with manufacturing facilities in Jiading District, Shanghai.
Advised Singapore listed company on proposed acquisition of land in Yangpu District, Shanghai.

Based in Shanghai and practiced in the regional law firm's China practice group. Specialized in PRC-related arbitration and litigation for construction, property development, sale of goods, JV and shareholder disputes.

Acted as lead counsel in Beijing CIETAC arbitration case (conducted in Mandarin) where clients, Singapore M&E contractor, obtained an award in Dec 2006 for USD 1.5 million being outstanding contract sum against Kunming consortium led by Singapore government-linked company. [Completed the case including final written submission before leaving Wong Partnership in May 2006.]

Acted as co-counsel in SIAC arbitration (conducted in English) where clients, top PRC contractor claimed USD 2.4 million against Korean main contractor in respect of variation works to the substructure of the Bund Centre, Shanghai. Clients received monetary compensation when the matter was amicably settled.

Acted as lead counsel in CIETAC Shanghai arbitration (conducted in Mandarin) where clients, Shanghai developer were Respondents against whom claims for breach of main contractor were made. Upon advice, clients had earlier procured nullification of the tender awarded to the original main contractor thereby allowing them to select a more suitably qualified main contractor. In an award rendered in May 2005, clients successfully knocked off 80% of the amount claimed by the original main contractor.

Advised Japanese contractor for Taipei mass rapid transit system in respect of its rights, remedies and liabilities vis-à-vis Taipei land transport authority, main contractor and insurer concerning a multi-million-USD water seepage incident. Clients obtained monetary compensation via amicable settlement with the main contractor and the insurer.


Executive Director & Registrar (Secretary-General) Singapore International Arbitration Centre (1998 to 2004)

Served as Executive Director & Registrar of SIAC. Managed SIAC’s operations (secretariat, administration and finance). Spearheaded the development, law and practice of arbitration in Singapore.

Drafted SIAC arbitration rules and practice directions. Drafted papers, made representations and drafted amendments to Singapore arbitration laws. Drafted papers, lobbied for and obtained waiver of withholding tax for foreign arbitrators working in Singapore.

Acted as arbitrator and rendered bilingual awards for real estate, construction, joint venture, international trade, shareholders and PRC-related disputes.

Taxed costs of arbitration cases in the capacity of Registrar, SIAC.

Visited China regularly, had dialogue and cooperated with PRC trade bodies, arbitration commissions and the judiciary on promotion of international arbitration.

Advocate & Solicitor, Robert W H Wang & Woo (1992 to 1996)

Acted as key member of the team advising the owners on construction of SUNTEC City. Negotiated and drafted joint venture, shareholder, SUNTEC Tower 2 sale and purchase and SUNTEC exhibition centre licence agreements.

Acted in SIAC arbitration where clients a consortium led by Dutch dragging contractor claimed damages for wrongful dismissal against Singapore government entity in respect of a beach construction project. Instructed lead counsel Robert Akenhead QC. Upon advice, clients arrived at an amicable settlement with favourable terms including monetary compensation and lifting of tender debarment notification.

Acted in Singapore court case where client the managing director of a company listed on the Singapore Exchange was charged for corruption. Instructed lead counsel Roy Alloway QC in the 2-month court hearing where the charge against client was dismissed. Upon appeal by the prosecution, client was convicted and given custodial sentence in 1994.

Acted in SIAC arbitration where clients a Singapore consortium claimed USD 248 million being damages for breach of joint venture agreement in respect of a PRC lottery project against NASDAQ listed gaming service provider. Travelled with clients to Washington DC in 1994 to Instruct US lead counsel from a top-tier law firm.

Acted in Singapore court deposition case in 1995 where client a Hong Kong citizen was accused of engaging in money laundering activities for his relative’s drug trafficking business in the US. Hong Kong barrister Alan Hoo QC was instructed.
